Hiring PJ contractors in Brazil (2026): reclassification risk, taxes and invoices
A PJ contractor is a Brazilian professional who invoices you through their own company instead of being your employee. It is lawful while the work is independent: if you direct the person's work like an employee's, the arrangement can be reclassified with back pay, FGTS and a fine per worker, and the Supreme Court's review of the practice, Tema 1.389, had no ruling on the merits as of November 2026. Services exported to a US client are largely free of Brazilian indirect taxes.

What is a PJ contractor in Brazil?
PJ stands for pessoa jurídica, a legal entity: a professional who works for you through their own company and invoices for the service, instead of signing an employment contract. Brazil has 26.1 million self-employed workers, 7.2 million of them with a company registration (CNPJ),[1] and 12.66 million individual micro-entrepreneurs (MEI).[8] The company can take three common forms:
| Form | Revenue limit | Notes |
|---|---|---|
| Individual micro-entrepreneur (MEI) | BRL 81,000 a year in 2026, BRL 110,000 in 2027, BRL 140,000 from 2028 | Raised by LC 238/2026[4] |
| Micro or small company in Simples Nacional | BRL 4.8 million a year, plus export revenue up to the same amount again | Simplified single tax payment[9] |
| Company in the regular regime | No limit | Presumed or actual profit taxation |
An individual can also work as an autonomous contractor without a company: they pay 20% social security on earnings between the minimum wage and the ceiling, BRL 324.20 to BRL 1,695.11 a month in 2026, or 11% under a simplified plan.[10] If your own Brazilian company pays an individual for services, it owes its own 20% contribution on that payment.[11]
When does a PJ arrangement become employment?
When the relationship has the elements of employment: personal, non-occasional services under the hiring company’s direction, for pay. The contract’s label does not decide it.[2] Supervision through digital means counts the same as in-person direction,[2] and any act meant to distort or defraud the labor code is void.[2] On the other side, hiring an autonomous contractor who meets the legal formalities, with or without exclusivity and continuously or not, does not by itself create employee status,[2] so exclusivity alone is not the problem; subordination is.
If a court reclassifies the relationship, the employer owes the employee’s rights, including FGTS, which contractors otherwise do not receive,[12] plus a fine of BRL 3,000 per unregistered employee, BRL 800 for micro and small companies. Claims reach back five years and must be filed within two years after the relationship ends.[2]
The question is before the Supreme Court. In April 2025 it took up Tema 1.389, on whether hiring self-employed workers or one-person companies is lawful, who has jurisdiction over alleged fraud and who carries the burden of proof, and it suspended all such cases nationwide.[13] On June 18, 2026 it let first-instance and regional labor courts resume them, with cases suspended again after the regional ruling.[14] As of November 2, 2026 its official page showed no ruling on the merits.[3] The Court held in 2018 that outsourcing is lawful at every stage of production.[15]
Which taxes does a PJ pay on work for a US client?
Exported services are largely free of Brazilian indirect taxes:
- ISS, the municipal services tax, does not apply to exports of services, but a service whose result occurs in Brazil is not an export even if a foreign client pays for it.[5]
- PIS and COFINS do not apply to services for a client resident abroad when payment comes in foreign currency.[6]
- IBS and CBS, the new taxes of the 2025 reform, do not apply to exports. In 2026, the test year, CBS is charged at 0.9% and IBS at 0.1%, but payment is waived for taxpayers that meet the reporting obligations.[7]
- Simples Nacional companies pay a reduced rate on export revenue, without the PIS, COFINS and ISS portions, and many services qualify for the lighter Annex III when payroll is at least 28% of revenue.[9]
- IOF on the exchange of export receipts is zero.[16]
An individual paid directly by a US company, without a company, pays monthly income tax on that income through the carnê-leão.[17] Brazil has no income tax treaty with the United States.[18]
Which invoice does a PJ issue, and in which currency?
Since January 1, 2026, every municipality must let companies issue the national-standard electronic service invoice, the NFS-e, or share its own invoices in the national layout,[7] and the national portal offers a free web issuer for MEIs and other companies.[19] A contract with a non-resident client can be priced in US dollars, and the contractor converts the payment through an institution authorized by the Central Bank.[20]
How do you check a Brazilian contractor company?
- CNPJ: anyone can look up a company’s registration and status, including its partners and administrators, and whether it is in Simples Nacional.[21]
- CPF: the Receita Federal offers a free status check of an individual’s tax ID.[22]
- Tax clearance: anyone can issue the federal tax clearance certificate for a CNPJ, which shows federal tax and social security debts.[23]
On the US side, collect a Form W-8BEN-E from the contractor’s company and screen the company and its partners against the OFAC sanctions lists.
What should the services contract say?
- Law and disputes: in a contract between companies, the parties can agree to arbitration and choose the rules of law,[24] and Brazilian courts decline cases covered by an exclusive foreign forum clause in an international contract when the defendant raises it.[25] Neither choice survives if a court finds an employment relationship.
- Software: unless agreed otherwise, rights in software developed under a services contract belong to the client when development is the purpose of the contract or follows from it.[26] Put the assignment in writing anyway.
- Other works and inventions: a total transfer of copyright needs a written contract,[27] and the rules that give service inventions to the employer also apply to independent contractors.[28]
- Personal data: if the contractor processes personal data from Brazil for you, transfers rely on the regulator’s standard contractual clauses, adopted without changes, or another legal basis.[29]
- Signature and language: electronic signatures are valid if the parties accept them,[30] and a contract in English needs a sworn translation to be used in a Brazilian court.[25]
The Brazil hiring guide covers employment through an entity or an employer of record, and most US employment and payroll laws do not reach a contractor working in Brazil.

Frequently asked questions
Is hiring a PJ contractor legal in Brazil?
Yes, when the work is genuinely independent. Employment is defined by personal, non-occasional, subordinated and paid work, whatever the contract says, and digital supervision counts as subordination. Exclusivity alone does not create employment, but directing the person's work like an employee's can.
What is Tema 1.389?
The Supreme Court case on the legality of hiring self-employed workers or one-person companies, which court decides alleged fraud and who must prove it. The Court suspended such cases nationwide in April 2025, let lower labor courts resume them in June 2026, and had not ruled on the merits as of November 2, 2026.
Does a Brazilian PJ pay ISS on services for a US client?
Not on exports of services. ISS does not apply when the service is exported, but a service whose result occurs in Brazil is not an export even if a foreign client pays for it.
Can a Brazilian contractor invoice in US dollars?
Yes. Contracts with a non-resident client can be priced in US dollars, and the contractor converts the payment through an institution authorized by the Central Bank, with no IOF on the exchange of export receipts.
How do I verify a Brazilian contractor's company?
Look up the CNPJ, which shows the company's status, partners and Simples Nacional option, and issue the federal tax clearance certificate for it. Both are free public services of the Receita Federal.
